Dealer Terms and Conditions Agreement

Company: Review Diesel, LLC (“Review Diesel,” “Company,” “we,” “us,” or “our”)
Dealer: Approved reseller or business entity (“Dealer,” “you,” or “your”)

1. Dealer Eligibility & Approval

1.1 Dealer status is available to legitimate businesses engaged in the resale, installation, or distribution of diesel performance parts and related products.

1.2 Submission of a Dealer application does not guarantee approval. Review Diesel, LLC reserves the right to approve or deny Dealer applications at its sole discretion.

1.3 Dealer must provide accurate and complete business information, including but not limited to:

  • Legal business name
  • EIN or Tax ID
  • Resale certificate (where applicable)
  • Valid business address
  • Contact information

1.4 Dealer agrees to update Review Diesel, LLC if any business information changes.

2. Dealer Pricing & Discount Structure

2.1 Approved Dealers will initially receive 5% off retail pricing on eligible parts and products.

2.2 Dealer discounts apply only to approved Dealer accounts and are non-transferable.

2.3 Review Diesel, LLC reserves the right to modify pricing at any time without prior notice.

2.4 Future Tiered Pricing:
Review Diesel, LLC intends to implement a volume-based tiered pricing structure. Discount levels may increase based on:

  • Monthly purchase volume
  • Quarterly purchase volume
  • Annual cumulative spend

2.5 Tier thresholds, eligibility requirements, and adjustments will be determined solely by Review Diesel, LLC and may be modified at any time.

2.6 Discounts do not apply to:

  • Shipping charges
  • Taxes
  • Special-order items (unless specified)
  • MAP-protected products (see Section 6)
  • Clearance or promotional items unless otherwise stated

3. Ordering & Payment Terms

3.1 All orders must be submitted through approved ordering channels (online portal, authorized representative, or direct invoice).

3.2 Payment Terms:
Unless otherwise agreed in writing, all Dealer orders are:

  • Prepaid via approved payment method
    OR
  • Net terms (if approved in writing by Review Diesel, LLC)

3.3 Late Payments:
Late payments may result in:

  • Suspension of Dealer pricing
  • Account hold
  • Revocation of Dealer status

3.4 Dealer is responsible for any payment processing fees, declined transactions, or chargebacks caused by insufficient funds or disputes.

4. Shipping & Risk of Loss

4.1 Shipping costs are calculated separately unless otherwise stated.

4.2 Title and risk of loss transfer to Dealer upon shipment.

4.3 Review Diesel, LLC is not responsible for:

  • Carrier delays
  • Damaged packages caused by shipping carriers
  • Lost shipments once accepted by the carrier

4.4 Claims for damaged or missing items must be submitted within 5 business days of delivery.

5. Returns & Warranty

5.1 Returns are subject to manufacturer return policies.

5.2 Review Diesel, LLC may charge a restocking fee where applicable.

5.3 Special-order items may not be returnable.

5.4 All warranties are provided by the original manufacturer. Review Diesel, LLC makes no independent warranty beyond manufacturer terms.

6. Minimum Advertised Price (MAP) & Brand Protection

6.1 Dealer agrees to comply with all applicable manufacturer MAP policies.

6.2 Dealer may not advertise products below MAP where applicable.

6.3 Violations of MAP policies may result in:

  • Immediate suspension
  • Loss of Dealer pricing
  • Termination of Dealer account

7. Online Sales & Marketplace Restrictions

7.1 Dealer may not resell products on third-party marketplaces (including but not limited to Amazon, eBay, Walmart Marketplace, Facebook Marketplace) without written authorization.

7.2 Dealer may not represent themselves as Review Diesel, LLC or imply partnership beyond approved Dealer status.

8. Intellectual Property

8.1 Dealer may use product images, descriptions, and brand materials only for the purpose of reselling purchased products.

8.2 Dealer may not modify branding in a way that misrepresents product origin or manufacturer.

9. Account Termination

9.1 Review Diesel, LLC reserves the right to terminate Dealer status at any time, with or without cause.

9.2 Grounds for termination include but are not limited to:

  • Non-payment
  • Fraudulent activity
  • MAP violations
  • Misrepresentation
  • Excessive chargebacks
  • Abuse of return policies

9.3 Upon termination, Dealer discounts immediately cease.

10. Limitation of Liability

10.1 Review Diesel, LLC shall not be liable for:

  • Lost profits
  • Business interruption
  • Indirect or consequential damages
  • Installation errors by Dealer

10.2 Dealer assumes all responsibility for proper installation and use of products.

11. Indemnification

Dealer agrees to indemnify and hold harmless Review Diesel, LLC from any claims, damages, liabilities, or expenses arising from:

  • Improper installation
  • Improper resale
  • Misrepresentation
  • Violation of these terms

12. Governing Law

This Agreement shall be governed by the laws of the State of Georgia, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in Walton County, Georgia.

13. Modification of Terms

Review Diesel, LLC reserves the right to update or modify these Terms and Conditions at any time. Continued purchasing after updates constitutes acceptance of revised terms.

14. Acceptance of Agreement

By applying for and purchasing under Dealer pricing, Dealer acknowledges that they have read, understood, and agreed to these Terms and Conditions.
